1. Acceptance of Terms

By accessing or using the website www.innovativeic.com (“Site”) or engaging Innovative Instruments & Controls (“IIC”, “we”, “our”, or “us”) for any product supply, engineering, or automation service, you (“Client” or “User”) agree to be bound by these Terms and Conditions (“Terms”).

If you do not agree with any part of these Terms, you must not use our Site or engage our services. These Terms apply to all visitors, clients, vendors, and others who access or use our Site or services.

2. About Innovative Instruments & Controls

Innovative Instruments & Controls is an industrial automation company registered in Tamil Nadu, India, providing:

  • PLC programming and system integration (Siemens, Allen Bradley, Delta, Mitsubishi)
  • SCADA system development, HMI configuration, and remote monitoring
  • VFD supply, installation, and commissioning (Danfoss, ABB, Siemens, Schneider Electric)
  • Custom control panel manufacturing (MCC, APFC, PLC panels, Motor Starter panels)
  • On-site installation, commissioning, and 24/7 breakdown support
  • Authorised dealership of branded automation components

We serve clients across automotive, food & beverage, water treatment, pharmaceuticals, cement, textiles, oil & gas, and power generation sectors throughout India.

3. Quotations, Orders, and Contracts

3.1 Quotations

All quotations provided by IIC are valid for 30 days from the date of issue, unless otherwise stated in writing. Quotations are non-binding until a formal Purchase Order (PO) or written confirmation is received and acknowledged by IIC.

3.2 Order Acceptance

A contract between IIC and the Client is formed only when IIC issues a written order acknowledgement or confirmation. IIC reserves the right to decline any order at its discretion.

3.3 Scope of Work

The scope of supply, services, and deliverables is governed solely by the mutually agreed written specification, purchase order, or project contract. Any verbal representations or understandings not captured in writing do not form part of the contract.

3.4 Variation Orders

Any change to the agreed scope of work must be submitted in writing by the Client and formally accepted by IIC before work commences on the variation. Additional costs and revised timelines will apply to all approved variations.

4. Pricing and Payment

4.1 Pricing

All prices are quoted in Indian Rupees (INR) and are exclusive of applicable taxes including GST, unless explicitly stated otherwise. Prices are subject to change without notice until a firm order is accepted.

4.2 Payment Terms

Unless otherwise specified in the quotation or contract, our standard payment terms are:

  • 50% advance payment upon order confirmation
  • Remaining 50% prior to dispatch or project handover

For service-only contracts and AMC agreements, payment is due within 15 days of invoice date. IIC reserves the right to alter payment terms based on project size, client history, or risk assessment.

4.3 Late Payment

Overdue invoices attract interest at 18% per annum (1.5% per month) on the outstanding balance from the due date until full payment. IIC further reserves the right to suspend or withhold services and deliveries in the event of non-payment.

4.4 Taxes

The Client is responsible for all applicable taxes, duties, and levies arising from the purchase of products or services. GST will be charged at the applicable rate and reflected in the tax invoice.

5. Delivery and Installation

5.1 Delivery

Delivery timelines stated in quotations are estimates and are subject to vendor lead times, material availability, and site readiness. IIC shall not be liable for delays caused by factors beyond its reasonable control.

5.2 Risk and Title

Risk in goods passes to the Client upon delivery to the agreed delivery point. Title to goods passes only upon receipt of full payment.

5.3 Site Readiness

The Client is responsible for ensuring that the site is ready for installation, including supply of appropriate power, civil works, earthing, cable trays, and access. Delays caused by inadequate site preparation may result in additional charges.

5.4 Inspection and Acceptance

The Client must inspect all delivered goods and commissioned systems within 7 working days of delivery or handover. Any defects, shortages, or discrepancies must be reported in writing within this period. Failure to notify IIC within 7 days will constitute acceptance of the delivery.

6. Warranties

6.1 Product Warranty

Products supplied by IIC carry the manufacturer's standard warranty. IIC, as an authorised dealer, will facilitate warranty claims with the respective manufacturers (Siemens, ABB, Danfoss, Delta, Schneider Electric, etc.) on behalf of the Client. Warranty terms vary by manufacturer and product category.

6.2 Workmanship Warranty

IIC warrants that all engineering, installation, and commissioning work will be carried out with reasonable skill and care and in accordance with the agreed specifications. Our workmanship warranty period is 12 months from the date of handover, unless otherwise specified in the project contract.

6.3 Warranty Exclusions

Warranties do not cover:

  • Defects resulting from misuse, negligence, or unauthorised modification by the Client or third parties
  • Normal wear and tear
  • Damage caused by power surges, lightning, flooding, or other external events
  • Consumable items (fuses, contactors, lamps, filters, etc.)
  • Work performed by third-party contractors not engaged by IIC

6.4 Limitation

Our liability under any warranty is limited, at IIC's sole discretion, to repair, replacement, or re-performance of the defective goods or services. IIC shall not be liable for any consequential losses arising from product failure.

7. Intellectual Property

All engineering drawings, PLC programs, SCADA configurations, panel designs, documentation, and software developed by IIC remain the intellectual property of IIC unless explicitly transferred to the Client in a signed written agreement.

The Client is granted a non-exclusive, non-transferable licence to use IIC-developed software and programs solely for the specific plant or facility for which they were designed. Copying, reverse-engineering, or resale of IIC's intellectual property without written consent is strictly prohibited.

All content on the IIC website — including text, images, logos, graphics, and technical materials — is the property of Innovative Instruments & Controls and may not be reproduced or distributed without prior written consent.

8. Confidentiality

Both parties agree to keep confidential all non-public technical, commercial, and operational information disclosed in the course of their engagement. This obligation survives the completion or termination of any contract for a period of 3 years.

IIC will not disclose Client-specific project details, plant configurations, or operational data to third parties without written consent, except where required by law or regulatory authority.

9. Limitation of Liability

To the fullest extent permitted by applicable law:

  • IIC's total aggregate liability to the Client under any contract shall not exceed the total value of the contract or purchase order giving rise to the claim.
  • IIC shall not be liable for any indirect, consequential, incidental, special, or punitive losses, including loss of production, loss of profit, loss of data, or business interruption, even if IIC has been advised of the possibility of such losses.
  • IIC's liability for third-party products (PLCs, VFDs, HMIs, etc.) is limited to the warranty and remedy provided by the respective manufacturer.

Nothing in these Terms limits liability for death or personal injury caused by IIC's negligence, fraud, or any other liability that cannot be excluded by law.

10. Safety, Standards, and Compliance

All control panel manufacturing and automation work carried out by IIC is performed in accordance with applicable IS/IEC standards. The Client is responsible for ensuring that the intended application, process, and operating environment comply with all applicable safety regulations, statutory requirements, and industry standards.

IIC operates with a “Zero Harm” safety philosophy and expects Clients and site personnel to maintain safe working conditions during installation, commissioning, and maintenance activities.

The Client must ensure that adequate safety procedures, permits-to-work, and lockout/tagout protocols are in place before IIC personnel commence on-site work.

11. Force Majeure

IIC shall not be liable for any delay or failure to perform its obligations under these Terms or any contract to the extent that such delay or failure is caused by circumstances beyond IIC's reasonable control, including but not limited to:

  • Acts of God, natural disasters, or extreme weather events
  • Government restrictions, sanctions, or regulatory action
  • Industrial disputes or strikes (other than those involving IIC employees)
  • Supply chain disruptions or manufacturer delays
  • Pandemic, epidemic, or public health emergency
  • Power outages, cyberattacks, or infrastructure failure

IIC will notify the Client promptly upon becoming aware of a force majeure event and will use reasonable endeavours to resume performance as soon as practicable.

12. Termination

12.1 Termination for Convenience

Either party may terminate a service contract or project agreement by giving 30 days' written notice to the other party, provided no outstanding deliverables or milestones are pending.

12.2 Termination for Cause

IIC may terminate a contract immediately upon written notice if the Client:

  • Fails to make payment within 30 days of the due date
  • Becomes insolvent, enters liquidation, or is subject to insolvency proceedings
  • Materially breaches these Terms and fails to remedy the breach within 14 days of notice

12.3 Consequences of Termination

Upon termination, the Client must pay for all work completed and materials procured up to the date of termination. IIC's intellectual property rights and confidentiality obligations shall survive termination.

13. Governing Law and Dispute Resolution

These Terms and all contracts between IIC and the Client shall be governed by and construed in accordance with the laws of India.

In the event of any dispute, the parties shall first attempt to resolve the matter through good faith negotiation within 30 days of written notice of the dispute. If unresolved, disputes shall be submitted to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Chennai, Tamil Nadu. The arbitration shall be conducted in English by a sole arbitrator mutually agreed upon by the parties.

The courts of Chennai, Tamil Nadu shall have exclusive jurisdiction over any matters that cannot be resolved through arbitration or that require urgent interim relief.

14. Website Use

The IIC website is provided for general information and enquiry purposes only. While we endeavour to keep information current and accurate, we make no representations or warranties regarding the completeness, accuracy, or fitness for purpose of any information on the Site.

You agree not to:

  • Use the Site for any unlawful purpose or in violation of applicable laws
  • Attempt to gain unauthorised access to any part of the Site or its underlying systems
  • Upload or transmit any malicious code, virus, or harmful content
  • Scrape, crawl, or harvest data from the Site without written permission

IIC reserves the right to restrict or suspend access to the Site at any time without notice.

15. Changes to These Terms

IIC reserves the right to update or modify these Terms at any time. The revised Terms will be posted on the Site with an updated effective date. Continued use of the Site or our services after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

16. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, without affecting the validity and enforceability of the remaining provisions.
